Under the memoQ Referral Program, customers of memoQ Translation Technologies (memoQ) who own a memoQ translator pro license or a memoQ server license (the Referrer) are invited to earn referral credits by inviting translators (the Referee) to purchase a memoQ translator pro license. The following Terms & Conditions apply to the Referrer and Referees (together referred to as the “Participants”) participating in the memoQ Referral Program. Participation in the Referral Program is voluntary; it is not a prerequisite of enrolling in any other Program, Discount/Promotion, or Service offered by memoQ. By enrolling in the Referral program, Referrer and Referees enter into a Referral Agreement with memoQ (together: Parties), governed by the present Terms and Conditions. Referrer enters into the present agreement by registering and opening their memoQ Account, and by sharing the Unique Link found therein with potential Referees. Referee enters into the present agreement by clicking a Unique Link received from a Referrer, and by completing a purchase of memoQ translator pro using this link.

memoQ may suspend, cancel, or change the Terms & Conditions of the memoQ Referral Program at any time, with immediate effect and without giving a reason. Referral credits already earned in accordance with the memoQ Referral Program before such change, suspension or cancellation, will be honored.

Definitions:

• Referrer: any customer of memoQ Translation Technologies who has a memoQ translator pro or a memoQ server license, and who uses a Unique Link to invite Referees to purchase memoQ, and meets the eligibility requirements of these Terms and Conditions.

• Unique Link: the unique URL that every Referrer may find when logged into their memoQ.com account, under the following URL: www.memoq.com/en/referral-program.

• Referee: A person that receives an invitation to purchase a memoQ translator pro license via a Unique Link from a Referrer, and meets the eligibility requirements of these Terms and Conditions.
• memoQ Account: A private section called My Account on the memoQ.com website where a customer can access their personal, business and licensing information relating to the memoQ products they use. For each customer, their memoQ Account also contains the Unique Link to be used for the Referral Program.
• Referral Credits: A bonus earnt by a Referrer whenever a Refereecompletes the purchase of a memoQ translator pro license through the Unique Link shared with them.

By taking part in the memoQ Referral Program, the Referrer acknowledges that memoQ Translation Technologies may, at its sole discretion, share the Referrer’s first name with the Referees. If you do not want the Referees to see your first name, please do not share your Unique Link.

1. Eligibility for the memoQ Referral Program

• Participants, namely Referrer and Referee, must be individuals of 18 years of age or older. Referrer must either be an individual user of memoQ, or else a representative of an organization that holds one or more memoQ or memoQ server licenses.
• Referrers need to hold either a memoQ translator pro license or a memoQ server license. In case of a memoQ server license, Referrer may be a registered representative or co-worker of the organization holding the memoQ server license, where ‘registered’ means someone having a memoQ account. Unique Links will only be available to share for users with either a memoQ translator pro or a memoQ server license.

2. Referral Credits

  • The Referrer shares the Unique Link as provided on the memoQ.com website (the link under the “Referral Program” on the “My Account” section);
  • A person receiving the link (the “Referee”), claims the Unique Link and completes the purchase of a memoQ translator pro license. To purchase a memoQ translator pro license, the “Referee” must have a memoQ Account;
  • When using a valid Unique Link, the Referee will be awarded a percentage discount of the total value of a memoQ translator pro license.
  • Referrer and Referees must at all times be different individuals.
• Referrers will earn 1 credit for each memoQ translator pro license that Referees purchases with their Unique Link. To see how much 1 credit is worth, please check the conversion table available at our Frequently Asked Questions page.
• Credits automatically become visible on the Referrer’s account once the purchase by the Referee is completed.
• The Referrer may use the credits earnt to renew their support and maintenance agreement with memoQ. Referral credits do not expire, which means Referrers will be able to use them whenever they need while the Referral Program is running. If memoQ cancels or terminates the program, Referrers will be able to redeem their earned credits for two calendar years afterwards.
• The Referrer may only use up to 6 Referral credits per year of support and maintenance purchased. If the Referrer happens to accumulate more than 6 credits, the remaining credits will be saved for future support and maintenance renewals (purchases).
• The Referee may use Unique Links of different users to purchase memoQ licenses. Each Unique Link will be valid for only one purchase (the purchase may include more than one license). After completing the purchase, the Referee will not be able to use the same link again. The Referee may use links shared by other users.
• Unique Links are valid as long as Referrer holds a memoQ translator pro or memoQ server license, and has an active. In the event the Referrer ceases to hold a license or Referrer’s memoQ account is deactivated or deleted, the Unique links shared by that Referrer will become invalid. Referees cannot purchase memoQ licenses using a Unique Link that belongs to a Referrer who is no longer a licensee or no longer has a memoQ account.
• The memoQ Referral Program can only be used for personal, non-commercial purposes.  The Referrer is not entitled to use the Unique Link in or for paid promotions, including online advertising.
• The Participants will be responsible for any taxes or charges, that may be arise due to the earning and payout of the Referral Program.
• The calculation of the Referral Credits is an automatic procedure based on the use of the Unique Links. memoQ reserves the right to, at its sole discretion, review Parties’ compliance with the memoQ Referral Program Terms & Conditions.

3. Sharing Unique Links

The Referrer shall not share or publish the Unique Links where there is no reason to believe that recipients are potential professional users of memoQ who will appreciate the invitation through the Unique Link. Referrer shall not send the Unique link in a mass e-mail, through mail merge or through a mass mailing service or application, and Referrer shall not violate applicable anti-spam laws in any other manner. As a guideline, e-mails sent to more than ten recipients count as mass e-mails.

The Referrer shall indemnify and hold memoQ, its directors, officers, employees, shareholders, agents and successors harmless, from and against any claims that may arise from any unlawful forwarding or sharing of the Unique Link.

4. Miscellaneous

memoQ reserves the right to investigate Referrers’ and Referee’s participation in the memoQ Referral Program if any suspicion of fraudulent activities arises. memoQ may also take any reasonable and lawful measures to end and prevent such activities. As part of such measures, memoQ may, at its sole discretion, cancel a memoQ Translator Pro purchase that took place through the (abusive use of the) program.

Referral credits earned through fraudulent activities or activities in violation of these memoQ Referral Program Terms & Conditions will be invalid and repayment may be requested by memoQ.

memoQ may, at any time and with immediate effect, suspend or terminate the membership of a specific Referrer when the Referrer fails to comply with the Terms & Conditions of the memoQ Referral Program. If Referrer breaches these Terms and Conditions, they will lose their earned credits as well as their membership in the Referral Program.

memoQ may suspend, terminate or change the Terms & Conditions of the memoQ Referral Program at any time, with immediate effect, and without giving a reason. In this case Referral credits already earned in accordance with the memoQ Referral Program before such change, suspension or termination, will be honored. This means that Referrers may redeem unused credits for 2 calendar years from the termination of the Referral Program, at the discount value in effect at the time of earning them.

To the extent permitted by law, these memoQ Referral Program Terms & Conditions shall be exclusively governed by and construed in accordance with the laws of Hungary. Any disputes arising out or in connection with these Terms & Conditions shall exclusively be submitted to and dealt with by a competent court of applicable jurisdiction.
